GDevelop Asset Store License Agreement

Parties And Definitions

This License Agreement is a non-exclusive, non-sublicensable end user license agreement between any individual or a single entity ("End-User") that acquires a license to an Asset from the GDevelop Asset Store and either (a) GDevelop France SAS or (b) any third party ("Provider") that offers and distributes its Assets via the GDevelop Asset Store or (c) any third party ("External Supplier") that offers and distributes Assets from the GDevelop Asset Store on their own service or website in accordance with GDevelop France SAS or GDevelop Ltd.

This License Agreement shall apply regardless of whether a purchased Asset is produced by GDevelop France SAS, GDevelop Ltd or by a Provider (each, a "Licensor").

In this License Agreement, "Assets" refers to images, files, sounds, consumable or other content that can be obtained on the GDevelop Asset Store under the terms of this agreement.

Warranties

GDevelop France SAS makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, GDevelop France SAS does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the Assets, materials on its website or otherwise relating to such materials or on any sites or applications linked to the GDevelop Asset Store.

The Assets, service and all products and Services delivered to you through the GDevelop Asset Store are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall GDevelop France SAS, GDevelop Ltd, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or Licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the GDevelop Asset Store or any products procured using the GDevelop Asset Store, or for any other claim related in any way to your use of the GDevelop Asset Store or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the GDevelop Asset Store or any content (or product) posted, transmitted, or otherwise made available via the GDevelop Asset Store, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Limitation Of Liability

Under no circumstances shall GDevelop France SAS, GDevelop Ltd or any party be liable to the other party or any third party for any damages resulting from any part of this agreement such as, but not limited to, loss of revenue or anticipated profit or lost business, costs of delay or failure of delivery, which are not related to or the direct result of a party’s negligence or breach.

For the avoidance of doubt, GDevelop France SAS and the Licensor disclaims all liability for damages resulting from usage of Assets to the fullest extent possible.

License Of Assets

• The Assets and all the trade marks, copyright, and other intellectual property rights related to it, still belong to the Licensor. All rights, except those granted in this License Agreement, are retained by the Licensor. The End-User shall not claim copyright or other intellectual property rights on the Assets.
• The End-User can use the Assets in unlimited derivative works distributed as an app, video game, animation, serious game or other interactive media.
• The End-User can use the Assets in derivate works for commercial or non-commercial purpose.
• The End-User can give attribution to the original author of the Assets.
• The End-User must not assert or imply that the End-User is, or that the usage of the Assets is, connected with, or sponsored, endorsed, or granted official status by the the Licensor, GDevelop France SAS, GDevelop Ltd, the Provider, the External Supplier or any other third party.
• The End-User is not allowed to redistribute, sublicense, resell, lend, transfer, give away or make available the Assets in a package, bundle, library, template, website, e-commerce website or any location enabling reproduction of these assets by third parties. This applies even if the Assets have been modified or adapted.
• The Licensor can choose to remove the Assets from the GDevelop Asset Store at any time. In this case, the End-User will continue to be able to use Assets the End-User bought and use them following this license agreement.

Termination

If the End-User does not comply with any part of this agreement, the agreement is terminated automatically. The End-User must stop using the Assets and delete any copy from the End-User computer, storage and remove any distribution or location using the Assets.

Governing Laws

This agreement shall be governed by and construed in accordance with the laws of France.If any part of this agreement is deemed unenforcable or invalid by the law, the remaining parts of the agreement will remain in effect.

Changes To This Terms And Conditions

We may update this License Agreement and our Terms and Conditions from time to time. Thus, you are advised to review this page periodically for any changes. These changes are effective immediately after they are posted on this page. By using the GDevelop Asset Store you are agreeing to be bound by the then current version of this License Agreement and terms of service.
